Terms of Agreement

The above named client is engaging Netpalouse Web Servic= es of Palouse, Washington, as an independent contractor for the purpose of designing and developing an internet Web Site to be installed on the client= 's web space.

Hereafter the client will be referred to as the "Client" and Netpalouse Web Services will be referred to as the "Designer."

1. = Web Site Design and Development

The Designer will design and code a Web Site according to the Client’s specifications. Cost of the Web Site will be a flat fee based on the size and comple= xity of the site.

2. Web Site Hosting=

The Designer will establish and maintain an account with= a Web Site Hosting Provider on behalf of the Client, or the Client will estab= lish an account independently. The Client hereby authorizes the Designer to access this account, and authorizes the Web Site Hosting Provider to allow the Designer "write permission" for the Client's web space on the Provider’s server.=

The monthly Web Site Hosting fee includes Domain Name Registration (3) and Search Engine Optimization (4).

3. = Domain Name Registration

If the Client pays a monthly Web Site Hosting fee, the Designer will register and retain an available Domain Name (clientname.com)= for the Client at the Client's request. The Designer does not guarantee the availability of the Client’= ;s desired Domain Name.

If the Client wishes to register their Domain Name independently, or already owns a registered Domain Name, the Designer will coordinate redirecting that address to the new web space.

4. = Search Engine Optimization

The Designer will optimize the Client’s web pages = with carefully targeted meta tags and keywords to ensure effective indexing with= the major internet search engines.

If the Client pays a monthly Web Site Hosting fee, the Designer will manually register the Client’s web site with the m= ajor free internet search engines and directories.

5. Web Site Source Copy

Upon completion and acceptance of the Web Site, the Desi= gner will provide one copy of the Client's Web Site source on cd-rom media at the Client's request.

6. Web Site Content

The Client will supply text content for all web pages on= the site. The Designer will edit = and format text as appropriate to suit the design of the web site. Text should be submitted in Micros= oft Word, RTF, or standard ASCII format.

The Client may supply photography or graphical content as available. The Designer will provide digital scanning services at no additional cost to the Client. The Designer will create additional graphic elements as necessary to support the design of the web site. For clients located in or near Whitman County, Washington, the Designer will provide on-site digital photographic services for the standard fee of $25.00 per hour.

Text or graphic elements may be submitted as email attachments, or may be sent via Postal mail. Content sent via Postal mail may i= nclude photographs, graphics, typewritten copy, or the following electronic media = in Microsoft Windows format:

7. = Web Site Acceptance, Payment and Maintenance

Upon the Designer’s completion and publication of = the Web Site, the Client will be mailed an invoice for the Web Site Design fee and = any monthly Web Site Hosting fee. Payment in full will be due in 30 days, and will signify the Client’s acceptance of the published Web Site.

If payment is not received within 30 days, or if the Cli= ent does not accept the published Web Site, then the Designer retains the right= to void this contract and to remove all web pages developed for the Client from the Web Site Hosting Provider’s server.

Web Site change requests made after the Client’s payment of this invoice will be billed separately at the following Web Site Maintenance rate:

8. Copyrig= hts and Trademarks

The Client represents to the Designer that any design elements furnished to the Designer for inclusion in the Client's Web Site a= re fully owned by the Client, or the Client has permission from the rightful o= wner to use each of these elements and will hold the Designer harmless from any claim or suit arising from the use of such elements.

9. = Design Credit

The Client agrees that the Designer may put a Netpalouse= Web Services hyperlink on the bottom of the Client’s main web page establishing design and development credit. The Client also agrees that the We= b Site created for the Client may be included in the Designer’s online Site = Portfolio.

10. Agreement

This contract constitutes the sole agreement between the Designer and the Client regarding this Web Site Design and Development proj= ect, and becomes effective only when signed by both parties.
